Terms of use

The terms on which Timeslip is made available to students, lecturers and school staff.

1. The Service

1.1 These Terms govern your use of Timeslip (the “Service”), which is operated by Warwick Brown (“we”, “us”, “our”). By creating an account, by signing in, or by using a link we have emailed to you, you agree to these Terms. Our identifying details (Electronic Communications and Transactions Act 25 of 2002, section 43) appear in the panel at the foot of this page.

1.2 The Service is a record-keeping and workflow tool for tutoring, teaching-assistant and research work performed for a university school that uses it (a “School”). It records the hours you log, renders them onto the School's own timesheet (a “Timesheet”), routes the Timesheet to the lecturer who must sign or approve it, and delivers the completed Timesheet to the School's office.

1.3 We are an independent service provider. We are not the university, a School, the Postgraduate Merit Award office or the Fees Office, and we do not act as the agent, employer or paymaster of any of them. The Service holds no funds and makes no payments.

2. Beta

2.1 The Service is provided as a beta release. Its features, screens, wording and underlying workings may be changed, suspended or withdrawn at any time and without notice.

2.2 A beta release may contain faults, including faults that cause information you have entered to be lost or misstated. You must keep your own independent record of the hours you work and must not rely on the Service as your only record.

2.3 You should report any suspected fault promptly to support@timeslip.co.za, describing what you did and what you observed. A fault reported while a claim period is still open can usually be corrected. A fault reported after the relevant deadline may not be capable of correction.

3. No guarantee of payment

3.1 The Service records hours and routes Timesheets. It does not pay anybody, and we give no undertaking that any Timesheet or claim will be approved, that it will be paid, or when it will be paid.

3.2 Those decisions rest solely with the lecturer who signs or approves the Timesheet, with your School, and with the university's Fees Office, which makes payment. Delivery of a Timesheet to a School through the Service constitutes the submission of a claim and nothing more.

3.3 You are solely responsible for the accuracy of the hours you enter. They are what the lecturer is asked to confirm and what the School pays against. You must claim only for work you have actually performed.

4. Who may use Timeslip

4.1 The Service may be used only by students performing tutoring, teaching-assistant or research work for a School, and by the lecturers and School staff who approve, sign or collect their Timesheets. Access is by an account registered to your university email address, or by a link emailed to you for the purpose of signing or approving a particular Timesheet.

4.2 You are responsible for keeping your sign-in details secure and for all activity under your account.

4.3 Nothing in these terms limits, waives or takes away any right you have under the Consumer Protection Act 68 of 2008 (the “CPA”), and any term that would have that effect is to be read down to the extent necessary to comply with the CPA.

5. Your account, and using it honestly

5.1 You undertake that:

  • you will log only hours you have actually worked, against the dates on which you worked them, and you acknowledge that a signed Timesheet is a document on which your School relies;
  • you will use only your own account and your own university email address, will not sign in as any other person, and will not permit any other person to sign in as you; and
  • you will not forward, share or reuse a signing link. A signing link emailed to a lecturer stands in the place of that lecturer's signature: any person holding it is able to sign the Timesheet concerned without an account and without a password. If a signing link reaches the wrong person, you must notify us without delay so that it can be revoked and replaced.

5.2 You agree that a signature you draw in the Service, and an approval you give by selecting a control in the Service or by using a signing link, is your electronic signature for the purposes of section 13 of the Electronic Communications and Transactions Act 25 of 2002, is intended by you to have the same effect as your handwritten signature, and may be applied to the Timesheet concerned. You further agree that Timesheets and the records of the Service are data messages which may be relied on as evidence of what was submitted, signed or approved, by whom and when.

5.3 We may suspend or close an account that is used to submit false claims or to gain access to records that are not yours, in accordance with clause 12.

6. Acceptable use

You must not: claim hours you did not work; submit a Timesheet in the name of another person; forward, share or reuse a signing link; attempt to gain access to another student's records, another School's data, or any part of the Service to which you have not been given access; scrape, load-test, probe or reverse-engineer the Service; interfere with its operation or security; or upload or transmit any unlawful content.

7. Data protection: the two roles

7.1 For the purposes of the Protection of Personal Information Act 4 of 2013 (“POPIA”), two categories of personal information are processed through the Service. In respect of claim and payroll records, namely the hours you submit, the Timesheet, the signatures on it and the audit trail behind it, your school is the responsible party and we process that information as its operator, on the school's instruction. In respect of account, sign-in, security and support information, we are the responsible party.

7.2 The consequences of that division are set out in the privacy notice, which forms part of these Terms. In particular, a request to delete or amend a Timesheet that has been submitted and signed is a request concerning your School's record. It will be referred to your School and will not be decided by us.

8. Intellectual property

8.1 The hours you log and the Timesheets generated from them remain yours and your School's. You grant us a limited, non-exclusive, revocable licence to store, process and transmit that content solely to the extent necessary to provide the Service.

8.2 We retain all right, title and interest in and to the Service, including its software, design, text and know-how. Nothing in these Terms transfers any of those rights to you.

8.3 We will not use your content for marketing, and we will not use it to train any machine-learning model.

9. What it costs

9.1 During the beta the Service is provided free of charge to students, lecturers and Schools. No payment details are requested and no payment is taken through the Service.

9.2 Should paid plans be introduced, they will be subject to separate terms and to prior written notice. No person will be moved onto a paid plan without having agreed to it.

10. Availability, and what we are answerable for

10.1 The Service is provided “as is” and “as available”. We do not commit to any level of availability, performance or support. The Service may be interrupted, including for maintenance and updates carried out while it is in use.

10.2 Records held by the Service are backed up daily. That does not relieve you of the obligation in clause 2.2 to keep your own record.

10.3 We will use reasonable efforts to correct faults that are reported to us, within the limits of a beta service operated by a sole proprietor.

11. Limitation of liability and indemnity

Please read this clause carefully. It limits our liability and it contains an indemnity.

11.1 We give no warranty that Timeslip is free of error, that it will be available at any particular time, or that it is fit for any particular purpose. You must check the contents of a Timesheet before you submit it and before you sign it.

11.2 To the maximum extent permitted by law, we are not liable for any indirect or consequential loss, including loss of income, loss of a bursary, award or stipend, or loss of opportunity, however arising.

11.3 To the maximum extent permitted by law, our total aggregate liability for any matter arising out of or in connection with your use of the Service is limited to the greater of the fees you have paid to us for the Service in the twelve months preceding the claim and R1 000.

11.4 Without limiting clauses 11.2 and 11.3, and because Warwick Brown does not pay anybody, we are not liable for any claim that a School or the Fees Office rejects, reduces, pays late or does not pay, for hours that were not logged, or for a deadline missed by reason of the Service being unavailable.

11.5 You indemnify us against any loss, liability, cost or expense that we suffer because a Timesheet you submitted claimed work you knew you had not performed, or because you deliberately used the Service to gain access to records that are not yours or to submit a Timesheet in another person's name. This indemnity does not extend to an honest mistake in a Timesheet, and it is limited to the loss that your conduct caused.

11.6 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under South African law, including under the CPA where it applies to you.

12. Suspension and termination

12.1 We may suspend or terminate your access to the Service for breach of these Terms, for the submission of a false claim, or for unlawful use. Where it is reasonably practicable to do so, we will give you our reasons and an opportunity to respond before doing so.

12.2 You may stop using the Service at any time and may request the closure of your account through Your data.

12.3 Timesheets that have been delivered to your School remain with the School as its record, and their retention is the School's responsibility and not ours.

12.4 Clauses 7, 8, 11, 14 and 15 survive the termination of these Terms.

13. Changes to these terms

13.1 We may amend these Terms from time to time. Each version bears an effective date, shown at the head of this page. Where an amendment is material, account holders will be asked to accept the amended Terms when they next sign in. No information is deleted or withheld pending that acceptance.

13.2 Where you hold an account, the version you accepted and the date of acceptance are recorded against it. A lecturer who uses the Service only through links we email, in order to sign or approve a Timesheet, does not hold an account and no acceptance is recorded. Use of the Service in that manner is nevertheless subject to these Terms as published on this page at the time of use.

14. Governing law and disputes

14.1 These terms are governed by South African law, and the South African courts have jurisdiction.

14.2 Before instituting proceedings, a party must give the other written notice of the dispute. The parties will first attempt to resolve the dispute by good-faith negotiation and, failing resolution within a reasonable time, by mediation. Notices to us may be sent to support@timeslip.co.za.

14.3 Nothing in this clause prevents you from lodging a complaint with the Information Regulator regarding the processing of your personal information, or from approaching the Consumer Goods and Services Ombud or the National Consumer Commission where the CPA applies, or prevents either party from seeking urgent interim relief from a court.

15. General

15.1 These Terms, read with the privacy notice, constitute the entire agreement between you and us in respect of the Service.

15.2 If any provision of these Terms is found to be unenforceable, it is severable and the remaining provisions continue in force.

15.3 No failure or delay by us in exercising a right operates as a waiver of that right.

15.4 You may not cede or assign your rights or obligations under these Terms. We may do so in connection with a transfer of the Service, on notice to you.

15.5 Formal notices to us must be sent to the address in the panel below.
